ONE WORLD CARD ® CARD

ATM/POS PREPAID MasterCard ® CARDHOLDER AGREEMENT MAESTRO ® & CIRRUS ® The purpose of this document is to establish and disclose the terms and conditions of your Prepaid MasterCard ® card / Transaction Card Agreement (“Agreement”) with the Provider and/or Financial Services Company identified on the back of the Prepaid MasterCard ® card (the “Provider”) and ONE WORLD PREPAID MASTERCARD ®, which defines the Terms and Conditions under which you may use the ATM/POS Prepaid MasterCard ® card (“Prepaid MasterCard ® card”) to obtain cash, goods, and services through automated teller machine (“ATM”) and point of sale (“POS”) transactions. THE PROVIDER ISSUES YOUR Prepaid MasterCard ® , BUT YOUR Prepaid MasterCard ® card IS NOT AN INSURED DEPOSIT ACCOUNT. THE FUNDS ON YOUR Prepaid MasterCard ® card ARE NOT INSURED BY THE FDIC, AND/OR ANY GOVERNMENT DEPOSIT INSURANCE CORPORATION AND / OR ANY OTHER GOVERNMENT AGENCY. NO INTEREST IS PAID ON THE FUNDS STORED ON YOUR Prepaid MasterCard ® card . THERE IS NO CREDIT LINE ASSOCIATED WITH YOUR CARD. In this Agreement the words “you” or “your” mean each and all of those who use the Prepaid MasterCard ® card and the words “our” “we” or “us” mean the Provider and ONE WORLD PREPAID MASTERCARD ® . By using your Prepaid MasterCard ® card you acknowledge that you agree: (i) to the terms and conditions set forth herein; (ii) that any and all information related to your card records with ONE WORLD PREPAID MASTERCARD ® or your card usage may be shared among the Provider and ONE WORLD PREPAID MASTERCARD ® or its agents and assigns; (iii) you are at least 18 years old (19 in AL and NE); (iv) you have a valid permanent home address within the 50 United States, the District of Columbia or the territories of the United States; and (v) YOU ACKNOWLEDGE THAT THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION WHICH MAY AFFECT YOUR RIGHT TO GO TO COURT, INCLUDING YOUR RIGHT TO A JURY TRIAL OR YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR SIMILAR PROCEEDING. Please read carefully and keep for future reference. With regard to your Prepaid MasterCard ® card, it is agreed that: Your Prepaid MasterCard ® card : You have purchased one Prepaid MasterCard ® card, with its own individual card record and unique card number. The limitations of Section 2 apply to you. Your Prepaid MasterCard ® card is a stored value card. This means that there is no deposit account or credit line associated with the Prepaid MasterCard ® card . You need to sign the Prepaid MasterCard ® card before using it. By using and/or signing the Prepaid MasterCard ® card , you agree with us that the Prepaid MasterCard ® card, and the funds stored on the Prepaid MasterCard ® card , is subject to this Agreement. Subject to the transaction limits of Section 2, you may load your Prepaid MasterCard ® card at the merchant locations wherever our prepaid cards are sold and at other locations we designate as load centers or load methods. 1 Identification Requirements. If you provide us with verifiable cardholder information, there are higher total maximum stored value limits on your Prepaid MasterCard ® card stated in Section 2. You can provide us with cardholder information by calling us at 1-866-878-8020. The cardholder information required includes your name, address, home phone number, birth date ( DOB ) and a government issued identification or Domestic Identification Number (DIN), such as a federal tax identification number, Social Security number, a state issued driver's license or identification card, a passport (and country of issuance) or an official foreign government identification, such as Mexico's Matricula Consular (“ID”). 2 Load and Use Limitations. You may load your Prepaid MasterCard ® card in $20.00 increments. You must provide name, address and DOB either on line, by mail or by calling card services. Your maximum daily limit for the aggregate of loads, purchases, and withdrawals, in one or more transactions, for your Prepaid MasterCard ® card cannot exceed $2500.00. The total maximum amount stored on your Prepaid Card cannot exceed $2,500.00. 3 Deposit Insurance. The funds stored on your Prepaid MasterCard ® are not insured by the FDIC, CDIC and/or otherwise guaranteed by any other government agency. 4 Stored Value Funds. No interest is paid on the funds stored on the Prepaid MasterCard ® . The Prepaid MasterCard ® has no minimum funds requirement; however, if there are ZERO funds stored on your Prepaid MasterCard ® card for three (3) consecutive billing cycles, your Prepaid MasterCard ®card will be placed in an inactive status and if you activate your Prepaid MasterCard ® card by loading them within one year thereafter, you will be charged an additional activation fee. After one year of inactive status, your Prepaid MasterCard ® card will be deactivated and thereafter, cannot be used again. The available funds that are reflected on our records exclusively determine the value stored on your Prepaid MasterCard ® card. There is no credit line associated with your Prepaid MasterCard ® card. This means that you must have sufficient funds stored on the Prepaid MasterCard ® card at the time of a transaction in order to pay for the transaction. If a merchant or an ATM operator attempts to submit a transaction on your Prepaid MasterCard ® card for an amount that is greater than the amount of available funds stored on your Prepaid MasterCard ® card , the transaction will not be authorized and/or settled. If a preauthorized or other transaction is returned because of insufficient funds, a non-sufficient funds (“NSF”) fee will be charged to your Prepaid MasterCard ® card. At anytime, for an additional fee, you may request a check for the available funds stored on your Prepaid MasterCard ® card and your Prepaid MasterCard ® card  will be deactivated. 5 Authorized Use. There is a panel on the back of the Prepaid MasterCard ® card for your signature. You need to sign this panel on your Prepaid MasterCard ® card as soon as you purchase or receive it. However, unlike a credit card, you remain completely responsible for the loss or unauthorized use of any value stored on your Prepaid MasterCard ® card, even if it is lost or stolen. Your responsibility for transactions with the Prepaid MasterCard ® card, as described in this Agreement, does not depend on whether or not you sign your Prepaid MasterCard ® card. For ATM and POS use, you will receive a personal identification number (“PIN”) with your Prepaid MasterCard ® card. Do NOT share the PIN with anyone you do NOT want to have access to the funds stored on your Prepaid MasterCard ® card. 6 Use of Your Prepaid MasterCard ® card. You may use your Prepaid MasterCard ® card to perform the following types of transactions in accordance with this Agreement:(i) At an ATM displaying the network symbols on the back of your Prepaid MasterCard ® card, you may access funds you have stored on your Prepaid MasterCard ® card, subject to the transaction limits specified in Section 2 of this Agreement, to (a) make withdrawals of cash up to the amount of funds stored on your Prepaid MasterCard ® card ; or (b) obtain stored value funds information. Your Prepaid MasterCard ® card can be used at ATMs within the United States and at international ATMs displaying the network identification symbols. These services may not be available at all ATMs. (ii) Split Tender - Some Merchants do not allow cardholders to conduct split transactions where you would use the card as partial payment for goods and services and paying the remainder with another form of legal tender. 7 Fees and Charges for Use of Prepaid MasterCard ® card. A monthly service fee will be charged to your Prepaid MasterCard ® card at the beginning of each billing cycle, with other fees being charged when incurred. (i) Transaction Fees: There are fees and charges applicable to your use of the Prepaid MasterCard ® card. Transaction Fees are subject to change. When you use an ATM you may be charged a fee by the ATM operator or any network used (and you may be charged a fee for a funds availability inquiry even if you do not withdraw funds at the ATM). In addition, you may be charged fees by other third parties for use of your Prepaid MasterCard ® card, such as (a) stores and merchants for POS transactions, and (b) other Providers and financial institutions for cash withdrawals at their branches. 8 Foreign Currency Transactions. If you make a transaction in currency other than U.S. dollars, you agree that we will convert the Prepaid or credit into a U.S. dollar amount. The conversion rate will be determined using our currency conversion procedures then in effect. The conversion rate on the processing date may differ from the rate on the date of your transaction. Currently, we use a currency conversion rate of either: (a) a wholesale market rate, or (b) a government-mandated rate, increased by an adjustment factor determined by us listed on attached Schedule of Transaction Fees. In each case, we use the rate in effect one day before the conversion date. 9 Notices. You will receive access to the following documentation with respect to your Prepaid MasterCard ® card transactions: (i) At the time you make an ATM transaction or merchant POS transaction, you should receive a receipt for the transaction. (ii) A monthly statement for Prepaid MasterCard ® card showing all Debits and credits posted to your Prepaid MasterCard ® card or a billing cycle, including fees assessed by third parties and transaction fees assessed in accordance with Sections 7 and 8 will be available to you at your inquiry to your web query page. You may dial into your account at www.digitalworldcard.com or upon request; a monthly statement will be mailed to you for an additional charge if you provide us with a U.S. postal address. (iii) Upon request, if you provide an email address, future communications, notices, and monthly statements will be sent to you electronically for no additional fee. 10 Lost Cards Notification. You acknowledge that it is your responsibility to immediately notify us of the loss or theft of your Prepaid MasterCard ® . To deactivate your Prepaid MasterCard ® card, call us at 1-866-566-5806. 11 Liability for Unauthorized Use. Unlike a credit card, you accept complete and total risk associated with a lost or stolen Prepaid Card. You are fully responsible for any stored value you have loaded on your Prepaid MasterCard® card that is lost, stolen, or damaged. “Unauthorized Use” means the use of your Prepaid MasterCard ® card by a person other than you, who does not have actual, implied, or apparent authority for such use, and from which you receive no benefit. 12 Deactivated Prepaid MasterCard ® card. Once your Prepaid MasterCard ® card has been deactivated because it was lost or stolen, you will no longer have use of the Prepaid Card or the funds stored on it.
For an additional fee, you can apply for a replacement Prepaid MasterCard ® card, and any funds remaining after card deactivation will be transferred to the replacement Prepaid MasterCard ® card. However, you must provide us with a U.S. postal address so that we can send you the replacement Prepaid MasterCard ® card. 13 Disclaimer of Liability. In providing the Prepaid MasterCard ® card and related services to you, you agree to indemnify and hold harmless the Provider, ONE WORLD PREPAID MASTERCARD ® and its agents and assigns. You hereby agree to disclaim any liability, duty, or responsibility other than those expressly set forth in this Agreement. 14 Dormant Prepaid MasterCard ® card. If required of us, you acknowledge and agree that we will escheat to state government authorities any funds remaining on your Prepaid MasterCard ® card after a statutory required period of dormancy. We deem a Prepaid MasterCard ® card to be dormant one-year after the earlier of the expiration date on your Prepaid MasterCard ® card or if your Prepaid MasterCard ® card has been deactivated (“Dormant Date”), at which time we will escheat the remaining funds as required by law. Any funds not claimed by the cardholder by the Dormant Date or escheated shall become the property of ONE WORLD PREPAID MASTERCARD ® . 15 Redemption of unused funds/cancellation. Requests for refunds of your balance should be addressed to 140 Broadway, 46th Floor, New York , NY 10005 . Cardholder will have access to funds for a period of (1) year after the expiration date. 16 Privacy Policy. We may disclose information to third parties about your Prepaid MasterCard ® card transaction history: • Where it is necessary for completing transactions; • In order to verify the existence and condition of your Prepaid MasterCard ® card and stored value funds for a third party, such as a credit bureau or merchant; • In order to comply with government agency or court orders, or other legal reporting requirements; • If you give us your written permission; • For marketing purposes; and • As otherwise permitted by law. Information concerning your Prepaid MasterCard ® card ransaction history may be shared within our organization, and with the Provider. Other information, including information you have given us in connection with obtaining the Prepaid MasterCard ® card or information we may receive from other third party, also may be shared within our organization and with the Provider. You may direct that information other than your card transaction history not be shared by contacting us in writing at the address provided herein or by emailing us at cardservices@digitalworldcard.com 17. Amendment. We may amend this Agreement with at least 30 days notice to you prior to the effective date of such amendment. If you want written notice, you must provide us with a U.S. postal address or you can find notice of such amendments at www.digitalworldcard.com 18. Assignment. You may not transfer or assign this Agreement to any other person without our prior written consent. We may assign our obligations to you under this Agreement without your consent or notice to you. 19 Arbitration. Any dispute arising out of this Agreement or usage of your Prepaid MasterCard ® card or transactions shall be resolved by, and the parties hereby agree to, binding arbitration under the AAA rules as practiced in the state of Delaware . The parties knowingly agree to this method of dispute resolution and waive any right to a court trial. 20 Governing Law Your Card and your obligations under this Agreement may not be assigned. We may transfer our rights under this Agreement. Use of your Prepaid MasterCard ® card is subject to all applicable rules and customs of any clearinghouse or other association involved in transactions. We do not waive our rights by delaying or failing to exercise them at anytime. If any provision of this Agreement shall be determined to be invalid or unenforceable under any rule, law, or regulation of any governmental agency, local, state, or federal, the validity or enforceability of any other provision of this Agreement shall not be affected. This Agreement will be governed by the law of the State of California except to the extent governed by federal law.
